Outside General Counsel Subscription Plans for Businesses

MBL's Outside General Counsel subscription plans protect your business and provide at-the-ready legal and strategic advice to help ensure your success. We'll draft your documents to give you transactional advantages, minimize your risks, and help you maximize your opportunities. MBL will be your strategic and legal advisor whenever you write an email or pick up the phone.

All Plans Provide:

Access to MBL for a certain number hours a month at a highly discounted rate.

Services include: 

  • Strategic advice on deal structuring.
  • Drafting of partnership, joint venture, and operating agreements; commercial, SAAS, manufacturing, consultant, purchase and sale, real estate, warranties, construction and development contracts. 
  • Corporate governance: formations, resolutions, board meetings and minutes, hiring and layoffs; mergers & acquisitions.
  • Capital raises, funding
  • Loan Docs--all stages of lending

SILVER PLAN

$1,200 per month, 1-year contract

Up to 5 hours per month, no rollover of unused hours. Phone or Zoom calls, in-person meetings, emails, document drafting, deal structuring, and business planning. Perfect for small businesses who need to create professional contracts, startups and early-stage business looking to grow or raise capital.

GOLD PLAN

$2,200 per month, 1-year contract

Up to 10 hours per month, no rollover of unused hours. Phone or Zoom calls, in-person meetings, emails, document drafting, deal structuring, and business planning. Perfect for small businesses who need to create professional contracts, startups and early-stage business looking to grow or raise capital, and businesses who simply need a responsive attorney at hand to ensure they're "doing it right."

PLATINUM PLAN

$5,000 per month, 6-month contract.

Up to 25 hours per month, no rollover of unused hours. Phone or Zoom calls, in-person meetings, emails, document drafting, deal structuring, and business planning. Perfect for mid-sized or large businesses with complex transactions those looking to restructure or enter new partnerships, tighten up their contracts or warranties, or tneed an attorney to handle negotiations with other represented parties and achieve settlements or compromises on potential claims.


Flat "Fixed" Fee Services

Services that may be billed at a flat fee rather than billed hourly.

LLC & S-Corp Formation (Startup Package)

$1,500-$2,500, depending on number of Founders

  • Drafting and filing of Articles of Organization with Secretary of State
  • Short-Form Operating Agreement with special attention to Allocations of Costs and Distributions of Profits
  • Registration with Secretary of State
  • Completion of EIN filing with the IRS
  • Filing with FinCEN (Corporate Transparency Act)

C-Corp Formation (Startup Package)

$2,500-$4,000, depending on complexity

  • Drafting and filing of Articles of Incorporation with Secretary of State
  • Completion of EIN filing with the IRS
  • Drafting of: 
    • Short form Corporate Bylaws
    • Resolution of Incorporator
    • Initial Written Consents and Resolutions
    • Subscription Agreements, Stock Ledger, and Notices of Issuance of Stock
    • Operating Guidelines Corporate Handbook
    • Intellectual Property Contribution and Assignment Agreements (if applicable)
  • Filing with FinCEN (Corporate Transparency Act)

Complex Formations with Multiple Investors

Flat Fee or Hourly, TBD

Partnerships and joint ventures in which multiple investors make different contributions require deeper consultation and sophisticated agreements that create membership classes with stratified voting rights and differing priority of profit distribution rights, a profit waterfall capital and profits interests sponsors or managers who may receive promote fees. MBL has the expertise to weave together the parties' needs to create protections and advantages for everyone involved.


Hourly Fee Services

For work that is unique, we bill clients at hourly rates.

Here are some examples of hourly work projects:

$350-$500 per hour, depending on complexity

  • Drafting, review, and negotiation of various contracts, including leases, PSAs, loan documents, real estate transactions, employment agreements, independent contractor agreements, easements, licenses, distributor agreements, nondisclosure agreements, branding agreements, and joint venture agreements
  • Buyout of business partners and company dissolutions
